Terms of Service

These Terms of Service ("Agreement") govern access to and use of the ZenPub platform ("Platform") operated by Zentrovia Solutions Pvt. Ltd. ("Zentrovia", "we", "us"). By signing up for a ZenPub account or using the Platform, you ("Customer") agree to be bound by this Agreement. If you are entering this Agreement on behalf of a company or organisation, you represent that you have authority to bind that entity.

1. The Platform

ZenPub is a white-label digital publishing infrastructure platform. It enables publishers, learned societies, and content aggregators ("Customers") to:

• Host and deliver digital content (eBooks, journals, courseware) under their own brand and domain
• Sell institutional subscriptions (B2B) and direct patron access (B2C) with no revenue share to Zentrovia
• Generate COUNTER 5.1-compliant usage reports and MARC 21 / KBART metadata exports
• Access AI-assisted chapter-level discovery, subject vocabulary tagging, and analytics
• Publish branded native mobile apps (iOS and Android) via the white-label build system

2. Account Registration and Access

You must provide accurate registration information and keep it current. You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorised access or suspected security breach at hello@zentrovia.tech.

ZenPub is not intended for individuals under 18 years of age. By registering, you confirm that you are at least 18 years old and have legal authority to enter into contracts.

3. Customer Content and Responsibilities

You retain all ownership of content you upload to the Platform ("Customer Content"). You grant Zentrovia a non-exclusive, worldwide licence to host, process, index, and deliver Customer Content solely to operate the Platform on your behalf.

You represent and warrant that:

• You hold all necessary rights, licences, and permissions to publish and distribute your content
• Your content does not infringe any third-party intellectual property rights
• Your content complies with all applicable laws and regulations in the territories you publish to
• You are solely responsible for the accuracy, legality, and appropriateness of your content
• You are responsible for your end users' compliance with the access terms you set for your storefront

4. Prohibited Use

You may not use the Platform to:

• Publish content that is illegal, defamatory, obscene, or violates third-party rights
• Attempt to reverse-engineer, decompile, or circumvent the Platform's security mechanisms
• Introduce malware, conduct denial-of-service attacks, or interfere with other customers' tenants
• Resell or sublicense access to the Platform to third parties without Zentrovia's written consent
• Use the Platform in any way that violates applicable export control or sanctions laws

5. Fees, Payment, and Cancellation

Platform fees are as agreed in your subscription plan or contract. There is no setup fee. Annual plans are billed upfront; monthly plans are billed at the start of each billing cycle.

Proof-of-concept period. All plans include a 30-day proof-of-concept period from the date your account goes live. If you are not satisfied within this period, you may cancel and receive a full refund by contacting hello@zentrovia.tech before day 30. After the proof-of-concept period, fees are non-refundable except as required by applicable law.

Annual plan cancellation. Annual plans auto-renew unless you provide written notice of cancellation at least 60 days before your renewal date. We will send a renewal reminder by email at least 75 days before each renewal date. To cancel, email hello@zentrovia.tech with your account details and intended cancellation date.

Monthly plan cancellation. Monthly plans may be cancelled at any time with 30 days' written notice. Cancellation takes effect at the end of the current billing period; no partial-month refunds are issued.

Zentrovia takes 0% revenue share on sales you make through your storefront. Revenue from your institutional and patron sales belongs entirely to you.

Storage and bandwidth overages beyond your plan limits are subject to additional charges as outlined in your plan or contract. We will notify you by email at 75%, 90%, and 100% of your included limits.

6. Data Processing

Zentrovia acts as a data processor on your behalf for personal data related to your end users (patrons, institutional administrators). You are the data controller for that data. Our processing is governed by our Data Processing Addendum ("DPA"), which is incorporated into this Agreement by reference and available at privacy@zentrovia.tech.

For data you provide to Zentrovia directly (account, billing, admin contacts), Zentrovia is the data controller. See our Privacy Policy for details.

7. Intellectual Property

Zentrovia retains all rights to the Platform, including its software, infrastructure, AI models, and branding. Nothing in this Agreement transfers any Platform IP to you.

Any feedback, suggestions, or feature requests you provide may be used by Zentrovia to improve the Platform without obligation to you.

8. Service Levels and Availability

Zentrovia targets 99.9% monthly uptime for the Platform (excluding scheduled maintenance). Planned maintenance windows will be communicated at least 48 hours in advance. Service Level commitments for enterprise contracts are defined in your contract.

We are not liable for outages caused by third-party services (CDN, cloud infrastructure, payment processors), force majeure, or actions taken at your direction.

9. Confidentiality

Each party agrees to keep the other's non-public business information confidential and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of this Agreement for three years.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". ZENTROVIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENTROVIA'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE FEES YOU PAID TO ZENTROVIA IN THE TWELVE MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL ZENTROVIA BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE OR PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Term and Termination

This Agreement begins on the date you register and continues until terminated. Monthly plans may be cancelled with 30 days' written notice (see Section 5). Annual plans require 60 days' written notice before the renewal date to prevent auto-renewal (see Section 5). Either party may terminate for material breach that remains uncured for 14 days after written notice.

On termination, we will make your Customer Content available for export for 30 days, after which it will be deleted from our systems. Sections 3, 7, 9, 10, 11, and 13 survive termination.

13. Governing Law and Disputes

This Agreement is governed by the laws of India. Any dispute arising from this Agreement shall first be attempted to be resolved by good-faith negotiation. If unresolved within 30 days, disputes shall be subject to arbitration under the Arbitration and Conciliation Act, 1996 (India), with the seat of arbitration in Bangalore, India.

Nothing in this clause prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction.

14. Changes to This Agreement

We may update these Terms from time to time. We will notify you by email at least 30 days before material changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
